(Terms and Conditions of Use for mersz.hu service provided by Akadémiai Kiadó Zrt.)

mersz.hu is owned and operated by Akadémiai Kiadó Zrt. (registered office: 1117 Budapest, Budafoki út 187-189. Building A, 3rd floor, tax number: 11387729-2-43, payment service provider: ING Bank Zrt., payment account number: 13700016-02491013, company registration number: 01-10-043151, companies court: Budapest High Court as Companies Court, name of the representative: Dr. Balázs Réffy CEO).

These Terms and Conditions of Use (henceforth: “Terms of Use”) shall constitute a contract between you and Akadémiai Kiadó Zrt. (henceforth: “AK”), the operator of mersz.hu service. The provisions of this contract shall govern the use of the services that are subject to registration (henceforth: “the service”).

Please, read carefully these Terms of Use, which govern your use of mersz.hu service. If you wish to use any of the services offered by mersz.hu, you must accept and comply with these Terms of Use.

mersz.hu reserves the right to periodically update, revise, supplement or otherwise modify these Terms of Use at any time, at unspecified intervals, and to impose new or additional rules, policies, or terms on Users (henceforth: “Members”) having registered on the websites containing mersz.hu services, concerning the use of the service. Updates, revisions, supplements, modifications, and additional rules, policies and terms shall be effective immediately and shall form an integral part of these Terms of Use.

It is the responsibility of the Member to review, from time to time, any changes to these Terms of Use.

1. Formation of the contract

1.1. Formation of the contract in respect of the services

This contract shall be concluded in Hungarian and shall not constitute a written contract under the laws in force, therefore it will not be registered.

The formation of the contract shall consist of the following steps:

− registration for mersz.hu – provision of the data requested by the system in the registration process in true, accurate and complete form
− reading and accepting the Terms of Use
− reading and accepting the Privacy Policy

and checking the data provided in the registration process.

2. Registration

The websites containing mersz.hu services can be browsed by Members as registered users; services offered for considerations may also be used only by Members. Registration is subject to acceptance by AK. AK reserves the right to reject a registration without giving reasons or to withdraw a registration at any time, in particular, where untrue or inaccurate or incomplete data have been provided, or the trust of mersz.hu or other Members has been abused, or any other abuse has been committed, or in case of a violation of the Terms of Use (the Licence Agreement).

AK makes the use of certain functions of its websites (akademiai.hu, mersz.hu, szotar.net) and the applications of mersz.hu and MeRSZ subject to registration. In the registration process customers and visitors shall create a user account (henceforth: “AK-ID account”) in AK’s central database specially set up for this purpose (henceforth: “AK-ID”), and registration data shall be stored in the AK-ID database. The e-mail address and the password data entered in the registration process will provide access to all services that are subject to AK-ID registration, to the interfaces available to Members and, in case of valid subscription, to the subscribed services (e.g. szotar.net, mersz.hu).

mersz.hu strongly recommends that Members change their passwords regularly and do not disclose them to anyone or store them in a place accessible to others. AK does not accept liability for any damage resulting from the loss of a password. AK is not able to issue a password under any circumstances.

The Member shall be entirely responsible for the confidential and secure use of his/her ID (username) and password. The Member shall not disclose this information to third parties or use or attempt to use the ID or password of another person. The Member undertakes to immediately notify the customer service of mersz.hu (e-mail address: ak@akademiai.hu) of any unauthorized use of his/her data and any other breach of security. mersz.hu shall not be held liable for any damage resulting from the unauthorised use of the Member's ID and password pair needed for the unified access system (mersz.hu login).

The Member agrees that by purchasing the services and digital goods provided on the websites (henceforth: “products”) he/she undertakes to use the products only in accordance with the Terms of Use and takes note that the use of the products in any other manner may result in civil or criminal liability. AK may check the Member’s compliance with the Terms of Use; moreover, AK reserves the right to enforce compliance with the Terms of Use with or without giving notice to the Member.

The Member acknowledges and accepts the licence conditions for the various products when activating the respective products.

No sublicencing of the service or allowing access to the service by the Member to any third party in any form, whether paid or free of charge, shall be permitted.

2.1. Member’s data (Registration data)

The Member declares that in the registration form(s) he/she will provide true, accurate and complete data (henceforth: “registration data”) whenever the program requests for such data for the service. To ensure that the data are true, accurate and complete, the Member undertakes to maintain and update, as necessary, the registration data provided by him/her. If, according to AK’s assessment, the information provided by the Member is false, inaccurate, or incomplete, AK shall be entitled to terminate the right of use of the service.

3. Technical requirements

The Member acknowledges and agrees that the use of the products may require other hardware and software devices (e.g. operation of the products on an authorised digital playback device) and that the Member shall act at its own risk in respect of such hardware and software.

4. Member comments, feedback and suggestions

Through and due to their submission, AK shall acquire unrestricted and exclusive entitlement to the use of all comments, observations, feedback, suggestions, ideas, and other proposals expressed, submitted, or offered to AK in relation to the use of the websites or the service (collectively, “comments”). Thus, the expression, submission or offer of any such comments shall amount to a transfer to AK of all right, title and interest in and to all economic copyrights and other proprietary rights that may exist in the comments. Hence, AK shall become the exclusive holder of all such right, title and interest in the comments and AK shall not be restricted in any way, commercial or otherwise, in the use of such comments. AK shall be entitled, without limitation, by indicating the source, to use, reproduce, publish, adapt, create derivative works from, disclose, communicate to the public, and/or distribute any comments submitted by a Member for any purpose, without any compensation and without giving prior notice to the Member.

5. Exclusion of liability

AK, the operator of mersz.hu website, does not assume liability for any damage resulting from the downtime of the service and/or from the loss of business or private information, or from any other financial loss.

In no event shall AK be held liable for damages arising from the performance or non-performance of the software, or from failures potentially related to other software applications running in parallel with the service.

AK does not guarantee that access to the websites will be uninterrupted or error-free. AK expressly excludes any liability for any damage and/or loss resulting from access to or the use, direct or indirect, of the websites, or from the contents available on the websites, or from the websites being unusable, or from the improper operation, defect, malfunction or ambiguity of the websites. AK expressly excludes liability for damage and/or loss causally related or unrelated to the content of the publications.

AK does not assume any liability for the information, contents, products, and services provided on the websites, in particular, for the information, contents, products, and services obtained from third parties. By using the websites, you acknowledge that you do so solely and exclusively at your own risk – AK accepts no liability for any damage to your computer or otherwise arising out of/sustained in connection with your use of the websites. AK excludes all liability for any damage resulting from the downloading of the program, or from an error of the program, or from the incompatibility of the program with a program running on your computer, or from any Internet virus.

6. Maintenance of the service

To maintain the websites, AK may suspend the service without giving prior notice or information.

The Member acknowledges that, in exceptional cases, continuous operation may be interrupted without AK’s prior knowledge and despite its intention. In such cases, AK will make every effort to restore the service as soon as possible but AK does not guarantee a specific time period for such restoration. The Member is aware that data transmission on the Internet and the speed of such transmissions depend on several factors. AK will make every effort to ensure rapid data exchange, but AK does not guarantee the non-occurrence of delays or potential loss of information.

7. Copyright protection

The Member acknowledges that AK owns all rights relating to the AK concepts and emblems as well as to emblems and concepts being phonetically or visually similar thereto.

The Member may not use the above-mentioned trademarks or similar trademarks as its own and may not mention them in a negative context.

The websites of the mersz.hu service, and the contents and parts thereof, are protected by copyright.

The mersz.hu logo and the mersz.hu product names, as well as the other brand names on the websites are owned by AK.

You may not use in any form all or part of the source code of the websites without AK’s prior written permission. You may not reproduce, transfer, distribute, adapt, store, transmit, sublicence, transfer for use for commercial or other purposes, or use in a manner not complying with the purchased licence all or any part of the content of the websites in any form, without AK’s prior written permission. Nor does AK consent to storing any content from these websites on your computer, for your own personal use. The content of these websites may be printed only once, in a single copy, only for the Member's own use, and they may not be reproduced, transmitted, or made available to third parties. A Member is only allowed to log in with the same username from one place at a time, hence multiple logins from multiple places with the same username are prohibited.

The contents of the AK service, which are made available on the websites, are to be understood as originally drafted, without any changes.

AK reserves the right to modify or revise the websites of the mersz.hu service at any time, to limit or terminate the availability of the websites, and to effect content-related or other changes in the database (in publications) at any time, without giving prior notice.

By submitting a comment, Members grant AK an unrestricted right of use, including the right of reproduction, adaptation, communication to the public, and distribution.

The publications, databases, online services, subscription packages, as well as their content, the software managing and displaying them, and the software ensuring the operation of network extensions, shall not be used by the Member in connection with any AI (artificial intelligence) based solutions used or operated under any legal title, for the purpose of creating such solutions, or in any manner that can be associated with artificial intelligence to any extent, beyond the intended use of the AI functions integrated by AK.

The Service subject to this contract may contain content or functions based on machine learning mechanisms and artificial intelligence systems, including, in particular, analytical artificial intelligence or generative artificial intelligence. These mechanisms may be applied specifically in the operation of the search engine and in the display of content snippets. Such content and functions are subject to continuous development and change; the aforementioned list is non-exhaustive. AK hereby informs the Member, and by entering into the contract, the Member acknowledges and accepts that, due to the nature and characteristics of artificial intelligence systems, the use of content based on these systems may yield results that differ from the Member's expectations or usual practices.

The Member is not entitled to use the Service subject to this contract, or its content or data, for the creation or development of software or tools by themselves or by a third party. It is specifically prohibited to use the Services, or their content or data, for the training or development of artificial intelligence systems.

8. Security of the websites

Members must not breach or attempt to breach the security of this websites, in particular, by:

− accessing data not intended for Members, or logging on to a server or identifier to which Members are not entitled;
− attempting to examine, spy on, or test the vulnerability of the system or the network, or violating the security of the system or its access control measures without proper authorization;
− attempting to interfere with or disrupt the services provided to any Member, host or network including, without limiting the generality of the above, the placing of a virus on the website, or overloading, flooding, spamming, mailbombing or crashing the websites.

System or network security breaches can give rise to civil and/or criminal law consequences. The Member agrees not to use any device, software, or process to interfere or attempt to interfere with the proper operation of this website or any activity on this website.

In case of high volume and intensive systematic and/or conceptual queries deviating from what is normal, AK reserves the right to immediately stop the service in respect of the given Member in order to protect the system and the contents.

9. Data management

Data are managed in line with AK’s Privacy Policy.

10. Gratuitousness

During the validity period of the granted licences, AK reserves the right to make available and provide the databases, dictionaries, works or parts thereof, or similar contents (in a single or combined form) covered by the licences, in whole or in part gratuitously, without a consideration, in a limited or unlimited form or manner.

(In such cases the Member shall not be entitled to any damages.)

11. Jurisdiction and applicable law

The parties (AK and the Member) stipulate the exclusive jurisdiction of the competent courts of Hungary and the applicability of the laws of Hungary. Any complaints regarding these Terms of Use may be addressed to the consumer protection authority.

No Member shall assign any claims arising from this service to a third party without AK’s prior written consent.
