e) The solution of the 2009 Civil Code

Sections 5:180-5:183 of the 2009 Civil Code contained the rules on the transfer of contracts. The law regulated the assignment of contracts as a tripartite contract, in line with the Expert Proposal. However, unlike the Expert Proposal, Act CXX of 2009 stipulated that “[a] contract shall be terminated as a result of the assignment of the contract between the party leaving the legal relationship and the party remaining in it. The new contract shall be concluded between the party entering into the legal relationship and the party remaining in the legal relationship at the time of its termination, with the same content as the old contract.”1 As the legislation did not consider the transfer of a contract as a succession, the 2009 Civil Code expressly provided that “[t]he party entering into a contractual relationship shall have all the rights and obligations which the party leaving the relationship had and continues to have under the contract vis-à-vis the party remaining in the relationship”. 2
